Our client, a leading manufacturing company of cement and cement related products, is currently seeking a Legal Advisor. Your primary role with be managing the company's internal legal function as well as its external lawyers providing the best legal support to achieve its business objectives.
Your main responsibilities will include: Identifying and managing legal risks, safeguarding company assets and handling the legal aspects of the development projects. Coordinating with the Group legal department and integrating the policies and principles of action. Managing the legal department budget, setting objectives and controlling the achievements. Developing policies and procedures including model contracts and other standardised documentations. Managing the legal relationships with the Stock Exchange regulator. Contributing to the strategic development of the businesses within the UAE's legal environment. Coordinating with finance and tax departments, if applicable, to optimise the legal structure of the Company. Managing all legal files in the areas of: Corporate affairs and company law, Competition Law, Antitrust and code of business conduct, Financing contracts and relationships with financial institutions, Delegations of authority and Powers of attorney, etc. Acting as Company Secretary, preparing agenda and minutes of shareholders and board meetings and managing the directorships, powers of attorney, proxy appointments, etc. Reporting and coordinating with Group Legal department in regards to acquisitions and divestments, material contracts, corporate disclosure purposes and implementation of Competition Policy.
